  • WEB SITE MAINTENANCE AGREEMENT

    This Contract for Professional Services (the “Agreement”) is made effective on this the CONTRACT DATE (“Effective Date”) between Dorys Sosa Prentice, dba, DSP DesignWorks, hereinafter called Contractor and FIRST NAME LAST NAME of COMPANY, with its principal business at COMPANY ADDRESS, hereinafter called Client.

    Service Package:

    1. BACKUPS - Contractor will make a backup of all the website’s files & database to a secure off-site server in the intervals specified in Client’s maintenance package. Contractor will maintain up to 5 of the most recent backups so that the website may be restored due to loss of content or issues resulting from updates to software.
    2. SITE UPDATES AND UPGRADES - Contractor will update website core, plugin and theme files per the interval specified in the Client’s maintenance package. Client understands that some plugins or theme files may become outdated and no longer work with the newest version of the website software. Should a plugin or theme become outdated, the time necessary to find an alternative may exceed the monthly allotted limit. Contractor will provide a separate estimate to replace the outdated plugins or theme files.
    3. SECURITY - Contractor will monitor the site and make updates to site if a critical security risk is eminent. Client understands technology is rapidly advancing and Contractor cannot guarantee that Client’s website won't be subject to security breaches. Should Client’s website suffer from a security breach, Contractor will restore from the most recent backup. Contractor recommends that Client use strong passwords and observe standard security practices.
    4. CODE AND CONTENT CHANGES - If Client’s package includes additional hours, Contractor will provide minor updates to the Web Site to include:
      • Edits, revisions, updates or create new content
      • Provide consultation service for any projects that impact the Web Site
      • Liaise with hardware engineers, hosting customer support, and other affiliate service entities
      If the Client or an agent other than Contractor attempts updating the web pages, time to repair web pages will be assessed at the hourly rate of $50/hr, and will not be included as part of the maintenance contract.
    5. ADDITIONAL SERVICES - Any revisions, additions or redesign Client wishes Contractor to perform which is not specified in this document shall be considered "additional" and will require separate Agreement and payment. Contractor shall advise Client on any requested work that falls within these bounds.
    6. Cancellation - This agreement remains in effect until either Client or Contractor cancels it, or the term of the contract runs out. Client or Contractor may cancel the Web Site Maintenance Agreement at any time, by giving thirty (30) day written notice. A Pro-rata refund will be given for any unused period not including month of the effective date of cancellation.
    7. ENTIRE AGREEMENT - This contract, together with any written addendums, constitutes the sole agreement between Contractor and the Client regarding site maintenance. Any dispute will be litigated or arbitrated in Kerr County, Texas. This agreement shall be governed and construed in accordance with the laws of the State of Texas.
